  • To ensure eligibility and completion of services provided through our Wellness Partners.

  • Data Security: We implement physical, administrative, and technical safeguards to protect your personal information, including password-protected online records and secure document storage practices.

  • Limited Access: Only authorized personnel working directly with Blake’s Foundation may access the personal information we collect. These individuals are trained on privacy and confidentiality procedures.

  • Wellness Partners: We may share limited information with our approved Wellness Partners to verify the services rendered, including the date, time, and type of service, as well as the name of the grant recipient and the name of the service provider.

  • Legal Requirements: We may disclose your information if required to do so by law, regulation, or legal process, such as a subpoena or court order.

5. Tinman Coin Vouchers

Blake’s Foundation issues Tinman Coin vouchers as part of our grant program. Please note:

  • Tinman Coins have no cash value and cannot be traded, sold, or exchanged for money.

  • Tinman Coin vouchers are non-transferable and may only be used by the person to whom they were issued.

  • The use of Tinman Coin vouchers is limited to services rendered by approved Wellness Partners who accept them.

We reserve the right to refuse issuance or use of Tinman Coin vouchers at our discretion.

6. Your Rights

You have the right to:

  • Request access to your personal information held by Blake’s Foundation.

  • Request correction or deletion of inaccurate or outdated personal information.

  • Opt-out of communications from us at any time.

Terms and Conditions for Wellness Partners

Effective Date: February 1, 2025

These Terms and Conditions ("Agreement") govern the relationship between you, as a Wellness Partner ("Partner," "you," or "your"), and Blake Matthew Mindful Memorial Foundation, Inc. ("Blake's Foundation," "we," "us," or "our"). By agreeing to partner with Blake's Foundation, you accept and agree to comply with these Terms and Conditions.

1. Partner Relationship

Blake's Foundation engages Partners to provide mental health and wellness services to grant recipients of Blake’s Foundation. Partners include both conventional and holistic service providers who meet Blake's Foundation’s qualifications and criteria.

By becoming a Partner, you acknowledge that you are not an employee of Blake's Foundation but an independent provider who has been approved to render services under the terms of this agreement.

2. Approved Wellness Services

As a Partner, you agree to provide the following services to grant recipients using Tinman Coin vouchers issued by Blake’s Foundation:

  • Mental health services (including counseling, therapy, etc.)

  • Wellness services (including holistic therapies like yoga, reiki, acupuncture, etc.)

  • Other services related to mental health and wellness as approved by Blake's Foundation

You agree that the services provided will align with the mission and goals of Blake’s Foundation, which focuses on improving mental health and wellness.

3. Tinman Coin Vouchers

Tinman Coin vouchers are non-transferable and have no cash value. As a Partner, you agree to:

  • Accept Tinman Coin vouchers for services provided to Blake’s Foundation grant recipients.

  • Provide services only to recipients who present a valid Tinman Coin voucher.

  • Submit your payment request(s) via our online Partner Portal.

  • Ensure that the services rendered are consistent with the service described in your partnership agreement with Blake’s Foundation.

Tinman Coins cannot be exchanged, sold, or refunded for cash and may only be used for services directly related to mental health and wellness treatments.

4. Payment and Reimbursement

Blake's Foundation does not prepay for services performed with a valid Tinman Coin Voucher.

Blake’s Foundation does not pay for services performed Instead, the Tinman Coin vouchers serve as a form of reimbursement for services rendered. By accepting a Tinman Coin voucher, you agree to provide the agreed-upon service to the recipient, and you acknowledge that:

  • You will not charge recipients or other parties directly for services covered by Tinman Coin vouchers.

  • If you require additional information or clarification regarding the voucher redemption process, you will contact Blake’s Foundation directly.

5. Qualifications and Compliance

As a Partner, you must:

  • Maintain the appropriate licenses, certifications, and qualifications required to provide services in your area of expertise.

  • Adhere to all relevant laws, regulations, and professional standards applicable to your services.

  • Ensure that your services are provided ethically, with care, and in a manner consistent with the principles and values of Blake’s Foundation.

  • Agree to not engage with Tinman Coin Voucher holders in the discussion of your opinions related to the services provided by other Wellness Partners in the Blake’s Foundation network if you are not qualified and/or licensed yourself in that particular field of work.

  • Encourage Tinman Coin Voucher holders to seek out other types of therapy or treatment within the network of Blake’s Foundation if they feel stuck in their journey towards accomplishing their wellness goals.

  • Agree to not advertise services of which you have not been professionally trained, including practices which may be misleading, without proof of training. As an example, you must agree to not advertise breathwork services if you have not been formally trained with proof by a professional certificate and three client references for that specific service.

Blake’s Foundation reserves the right to review and audit your qualifications, credentials, and practices at any time to ensure compliance with our standards.

6. Confidentiality and Data Protection

You agree to maintain the confidentiality of all personal and health-related information shared by recipients of services through Blake’s Foundation. Specifically, you will:

  • Handle all personal information, including PHI (protected health information), in accordance with applicable privacy laws, including HIPAA.

  • Ensure that no personal information is disclosed to unauthorized third parties.

  • Use personal information solely for the purpose of providing services to grant recipients and not for any other purpose.

You acknowledge that Blake’s Foundation takes data protection seriously and expect all Partners to do the same.

7. Termination of Partnership

Either party may terminate this Agreement with written notice to the other party. Blake’s Foundation reserves the right to terminate your partnership for any reason, including but not limited to:

  • Failure to comply with these Terms and Conditions.

  • Failure to maintain required certifications, qualifications, or licensure.

  • Failure to provide services in accordance with Blake’s Foundation’s standards or mission.

  • Misuse or abuse of Tinman Coin vouchers or other unethical conduct.

Upon termination, you will no longer be authorized to accept Tinman Coin vouchers or provide services to Blake’s Foundation grant recipients.

8. Indemnification

You agree to indemnify and hold Blake’s Foundation harmless from any claims, damages, or liabilities arising from your services, including any claims related to the quality, legality, or appropriateness of the services provided. This includes any third-party claims arising from your failure to comply with applicable laws or professional standards.

9. Liability and Dispute Resolution

Blake’s Foundation is not responsible for any personal injury, loss, or damage caused by your services. You agree to hold Blake’s Foundation harmless for any legal or financial obligations arising from the services provided under this Agreement.

Any disputes between you and Blake’s Foundation will be resolved through good-faith negotiation. If a resolution cannot be reached, the dispute will be submitted to mediation or binding arbitration in the state of Wisconsin.

10. Amendments

Blake’s Foundation reserves the right to amend these Terms and Conditions at any time. Any amendments will be communicated to Partners, and continued participation in the program after such amendments will constitute acceptance of the revised Terms.

11. Miscellaneous

  • Governing Law: This Agreement is governed by the laws of the state of Wisconsin.

  • Independent Contractors: Partners are independent contractors and are not employees of Blake’s Foundation.

  • Entire Agreement: This Agreement constitutes the entire agreement between you and Blake’s Foundation regarding the provision of services as a Wellness Partner and supersedes all prior agreements or understandings.

Terms and Conditions for Wellness Grant Recipients

Effective Date: February 1, 2025

These Terms and Conditions ("Agreement") govern your participation as a Wellness Grant Recipient ("Recipient," "you," or "your") in the wellness grant program provided by Blake Matthew Mindful Memorial Foundation, Inc. ("Blake's Foundation," "we," "us," or "our"). By accepting a wellness grant from Blake's Foundation, you agree to abide by the terms set forth in this Agreement.

1. Eligibility for Wellness Grants

To be eligible for a wellness grant, you must meet the criteria set by Blake's Foundation, including but not limited to:

  • Demonstrating a need for mental health and wellness support.

  • Completing the application process and providing required information.

  • Participating in an onboarding interview with Blake’s Foundation to discuss your needs and suitability for the program.

  • Agreeing to the use of Tinman Coin vouchers for services rendered by approved Wellness Partners.

By receiving a wellness grant, you confirm that you meet the eligibility requirements outlined above.

2. Wellness Grant Benefits

As a Wellness Grant Recipient, you will receive a Tinman Coin voucher or a series of vouchers redeemable for wellness services provided by approved Blake's Foundation Wellness Partners. These services may include:

  • Mental health services (e.g., therapy, counseling, etc.)

  • Holistic wellness services (e.g., reiki, acupuncture, yoga, sound therapy, etc.)

  • Other mental health and wellness-related services as determined by Blake's Foundation.

The Tinman Coin vouchers are valid only for services provided by Wellness Partners listed on our official website.

3. Tinman Coin Vouchers

The Tinman Coin vouchers you receive:

  • Are non-transferable, non-refundable, and have no cash value.

  • Are redeemable only for services provided by approved Wellness Partners.

  • May not be exchanged, sold, or otherwise transferred, unless authorized in writing by Blake’s Foundation.

By accepting the Tinman Coin voucher(s), you agree to use them solely for the services provided by Wellness Partners, and not for any other purposes.

4. Your Responsibilities

As a recipient of a wellness grant, you agree to:

  • Use the Tinman Coin vouchers for the intended purpose of receiving mental health and wellness services from approved Wellness Partners.

  • Attend your appointments with the Wellness Partner as scheduled. If you need to reschedule or cancel an appointment, you must do so in accordance with the Wellness Partner's policies.

  • Report back to Blake’s Foundation on your experience with the services you receive, including whether you attended the sessions and your feedback on the service.

  • Participate in follow-up evaluations or check-ins to assess the progress of your wellness journey.

  • Work collaboratively with the Wellness Partner to ensure that the services you are receiving are in line with your needs.

  • Understand that it is your responsibility to follow through with the plan set by the Wellness Partner.

Failure to fulfill these responsibilities may result in the termination of your grant, and you may be ineligible for future wellness grants.

5. Confidentiality and Privacy

Blake’s Foundation is committed to protecting your privacy and the confidentiality of any personal and health-related information. By accepting a wellness grant, you agree that:

  • Blake’s Foundation will maintain the confidentiality of your personal and health-related information, in compliance with applicable privacy laws, including HIPAA.

  • Your wellness service information may be shared with the Wellness Partner solely for the purpose of verifying the services provided (e.g., dates of service, type of service, and your name).

  • Any recordings, such as podcast interviews or success stories, will only be published with your explicit consent.

You have the right to request access to or correction of your personal data in accordance with applicable privacy laws.

6. Service Delivery

You understand that:

  • All wellness services provided by Wellness Partners are subject to their availability and policies.

  • Wellness Partners have the right to refuse services to you if you fail to meet their requirements or policies.

  • You are not entitled to any services that exceed the scope of the wellness grant provided by Blake’s Foundation.

Blake’s Foundation does not guarantee specific results or outcomes from the services provided by the Wellness Partners.

7. Termination or Modification of Grant

Blake’s Foundation reserves the right to terminate or modify your wellness grant if:

  • You fail to comply with the terms of this Agreement.

  • You do not engage with the wellness services as intended, including failing to attend appointments or provide feedback as required.

  • You engage in behavior that is disruptive, unsafe, or otherwise inappropriate with Wellness Partners.

  • Blake’s Foundation determines that continuing to provide the wellness grant is not in your best interest.

In the event of termination, your eligibility for future wellness grants may be impacted.

8. Liability Waiver

Blake’s Foundation is not responsible for any harm, injury, or loss resulting from the wellness services provided by the Wellness Partners. By accepting a wellness grant, you agree to:

  • Waive any claims against Blake’s Foundation related to the services provided by the Wellness Partners.

  • Hold Blake’s Foundation harmless from any liability arising out of or related to the wellness services you receive.

You acknowledge that the wellness services provided by the Wellness Partners are voluntary, and you are fully responsible for your participation in those services.

9. Indemnification

You agree to indemnify and hold Blake’s Foundation harmless from any claims, damages, or liabilities arising from your participation in the wellness grant program, including your use of Tinman Coin vouchers and services provided by Wellness Partners.

10. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the state of Wisconsin. Any disputes arising from this Agreement shall be resolved through good-faith negotiation. If a resolution cannot be reached, the dispute shall be submitted to mediation or binding arbitration in the state of Wisconsin.

11. Amendments

Blake’s Foundation reserves the right to modify these Terms and Conditions at any time. Any changes will be communicated to recipients, and continued participation in the wellness grant program after such changes will constitute acceptance of the revised Terms and Conditions.

12. Miscellaneous

  • Entire Agreement: This Agreement constitutes the entire agreement between you and Blake’s Foundation concerning your participation as a wellness grant recipient.

  • Severability: If any part of this Agreement is found to be invalid or unenforceable, the remainder of the Agreement shall remain in effect.

  • No Assignment: You may not assign or transfer your rights or obligations under this Agreement to any third party.
